Is an LLC Right For Your Startup?

Should you form an LLC for your startup? If you are starting a business and you don’t have a specific reason to form a corporation, you should opt for an LLC.

Yep. It’s that simple. The LLC is so flexible and there are so many options down the road that, unless you are absolutely certain you need the double taxation of the C-Corporation, or any of the benefits of the S-Corporation right out of the gate, you can postpone that decision by forming an LLC.

Of course, there is a more complicated explanation. Of course, there are a lot of factors to consider. But, that is what the professionals are for. There are reasons and things to consider. You could think of:

  • Taxes
  • Equity Structure
  • Voting Rights
  • Management

Or, you could take the next step and move forward.

There.

We have eliminated the excuses for you to not start your new venture. Or worse, to start it without first forming an entity. Start with an LLC. Make sure you set it up right. But, start with the LLC.

Of course, once you have the entity set up, don’t forget to think about your business systems or your customer agreement or your intellectual property.

Legal impacts every area of your business. But, sometimes, just sometimes, the decision doesn’t need to be over complicated and create an excuse for standing still. Starting with an LLC gives you:

  • the limited liability protection you need from an entity
  • the flexibility of creating an ownership structure anyway you like
  • AND
  • the option to alter your tax structure down the road as you need based on your goals as a business owner

Now, go enjoy the holiday weekend, and let’s hit the ground running when we get back.

Helping You Sleep at Night Knowing Your Business is Protected. Legally.

Even if you have been in business for years and everything has been fine. It can all change. Fast. And you could lose it all. If you don’t know how to protect yourself.

After working with entrepreneurs for years, I realized that many entrepreneurs have the same legal questions. And the same problems. Many entrepreneurs, though they understand that legal is an important part of protecting your business, just put it off. You always think you can do it later. Until there isn’t a later.

Dumb Starbucks – What You Can Do About Trademark Copycats

I don’t know if you heard about it, but last week a store opened in LA called “Dumb Starbucks”. Turns out, it was a stunt by Nathan Fielder, a comedian with a show on Comedy Central. Nathan Fielder’s show is all about giving terrible advice to small businesses. This stunt was an attempt to play […]

The Best Way to Protect Your Idea – It’s Not an NDA

If you have been around the startup world for long, you have seen a Nondisclosure Agreement (NDA). You have either been asked to sign one, or you have asked someone to sign one. This is one of the most overused, least understood contracts in the startup world. Everyone thinks that their idea is the next […]

Derivative Works

I am excited about returning to our conversation about intellectual property. This week, let’s talk about derivative works. I am sure you have heard of derivative works and know, generally, that it is a work based on another work. The Avengers movie is a derivative work of the original comic books because the work is […]

Contract Drafting Style Guide

Contract drafting is an art form. Some contracts are more appealing than others. As much as anyone wants to create a formula for contract drafting, not all contracts are created equally. Contracts are designed to be easily read and understood. Contracts are self-contained explanations of a relationship between two parties. Language does that, but so […]
